ASSET PURCHASE AGREEMENT, dated as of October 2, 2008 (this “Agreement”), by and among (i) Regio BDS, LLC, a Delaware limited liability company (“Purchaser”), and (ii) Boscov’s, Inc., a Pennsylvania corporation, and each of its direct and indirect subsidiaries listed on the signature pages hereto (each a “Seller” and collectively, the “Sellers”).
