This Agreement (“Agreement”) shall be deemed effective as of August 22, 2001 (the “Effective Date”), between Access Point, Inc. (“Access Point”), a corporation organized under the laws of the State of North Carolina, with offices at 1100 Crescent Green, Suite 109, Cary, North Carolina 27511 and Verizon Pennsylvania Inc., f/k/a Bell Atlantic - Pennsylvania, Inc. (“Verizon”), a corporation organized under the laws of the Commonwealth of Pennsylvania with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and Access Point may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
