THIS AGREEMENT is made by and between BellSouth Telecommunications, Inc., (“BellSouth”), a Georgia corporation, and VarTec Telecom, Inc. a Texas corporation, on behalf of its operating affiliates identified in Part C hereof collectively, (“VarTec”) and shall be deemed effective as of July 24, 2001 (“Effective Date”). This Agreement may refer to either BellSouth or VarTec or both as a “Party” or “Parties.”
