This Data Processing Addendum ("Addendum") is hereby incorporated into and made a part of the agreement to which it is attached ("Agreement") by and between Sonic Foundry International, B.V. ("Sonic Foundry" or "Processor") and ("Customer" or "Controller"), each a "Party" and collectively the "Parties". In the event of a conflict between the terms of this Addendum and the terms of the Agreement, the terms of this Addendum shall control with respect to such conflict.
