This Settlement Agreement (the “Agreement”) is made and entered into as of May 11, 2012 (the “Execution Date”), by and among the Debtors1 and Claudia C.E. Jansen in her capacity as Insolvency Administrator (Insolvenzverwalter) (the “LB Capital InsAdmin”) of Insolvenzverfahren Lehman Brothers Capital GmbH (“LB Capital”). The Debtors and LB Capital, acting through the LB Capital InsAdmin, shall each be referred to individually as a “Party” and collectively as the “Parties.”
