THIS SERIES OPERATING AGREEMENT, dated as of April 11, 2024 (“Series Operating Agreement”), is entered into by and between certain members of Nestake, LLC, a Delaware series limited liability company (the “Company”) associated with the Series #1 - 7Palm Dubai (this “Series”), as such Members are set forth on a separate Schedule A to the Limited Liability Company Agreement of the Company (the “Private Placement Memorandum”), and the manager of this Series (the “Manager”). Capitalized terms used herein and not otherwise defined are used as defined in the Private Placement Memorandum, dated and effective as of April 11, 2024, as may be amended from time to time.
