If Worldpay and Provider (as defined below) have executed a written agreement which expressly relates to the Purchase Order, such terms and conditions shall apply to the Purchase Order. Otherwise, the following terms and conditions (“Purchase Order Terms”) shall govern the Purchase Order and shall be deemed incorporated to it, and each Purchase Order, together with these Purchase Order Terms, shall form a separate agreement (“Agreement”), by and between Worldpay and Provider. In the event of any conflict between the Purchase Order and these Purchase Order Terms, the latter shall prevail.
