WHEREAS EPC, G&B and the Shareholders entered into an option agreement dated as of October 18, 2010, as amended on December 1, 2010 and as further amended on January 18, 2011 (the “Option Agreement”) pursuant to which the Shareholders agreed to grant to EPC, and EPC agreed to obtain from the Shareholders, an option (the “Option”) to acquire the G&B Shares (and thereby indirectly acquire a 100% interest in the Property), pursuant to and subject to the terms and conditions of the Option Agreement;
