WHEREAS, pursuant to the First Lien Term Loan Agreement, dated as of January 29, 2021 (as amended, restated, amended and restated, supplemented or otherwise modified from time to time prior to the date hereof, the “Credit Agreement”), among Holdings, ASP Flag Merger Sub, Inc., a Delaware corporation, and following the consummation of the Merger, the Borrower, certain subsidiaries from time to time party thereto, as Subsidiary Guarantors, the Lenders from time to time party thereto, Credit Suisse AG, Cayman Islands Branch, in its capacities as administrative agent and collateral agent for the Lenders (in such capacities and together with its successors and assigns, the “Administrative Agent”), the Lenders agreed to make the Initial Term Loans;
