THIS EXHIBIT XX, dated as of [ ], 2011, is entered into by and between Microsoft Corporation, a Washington corporation with an address at One Microsoft Way, Redmond, Washington 98052 (“Licensee”), and Culver Digital Distribution Inc., a Delaware corporation with an address at 10202 West Washington Boulevard, Culver City, California 90232 (“Licensor”), and is made pursuant to is attached to the International Video-On-Demand License Agreement, dated as of [ ], 2011, between Culver Digital Distribution Inc. and Microsoft Corporation (“Agreement”). Upon execution, the terms of this Exhibit 1 are hereby incorporated into and made a part of the Agreement.
