THIS AGREEMENT AND PLAN OF MERGER (the “Merger Agreement”) is dated as of August 28, 2007, by and between INSURANCE EDUCATION INSTITUTE, INC., an Indiana nonprofit corporation (“IEI” or the “Merged Corporation”), and THE GRIFFITH FOUNDATION FOR INSURANCE EDUCATION, an Ohio nonprofit
