is dated as of January 6, 2000 by and among Autobytel.Europe LLC, a Delaware limited liability company (the "COMPANY"), autobytel.com inc., a Delaware company ("ABT"), GE Capital Equity Holdings, Inc., a Delaware corporation ("GE"), Inchcape Overseas Investments B.V., a Netherlands corporation ("INCHCAPE"), Pon Holdings B.V., a Netherlands corporation ("PON") and any other Person who shall execute this Agreement or a counterpart thereof and become a Member (as defined below) on and after the date hereof.
