This SETTLEMENT AGREEMENT AND RELEASE (the “Agreement”) is made and entered into as of this 22nd day of December, 2017 (the “Effective Date”), by and among (a) Airplanes Limited and Airplanes U.S. Trust (together, “Airplanes Group”); (b) UMB Bank, National Association (“UMB”), in its capacities as (i) indenture trustee under each of the trust indentures, dated as of March 28, 1996, as supplemented and amended, to which Airplanes Limited and Airplanes U.S. Trust are parties (each an “Indenture,” and together, the “Indentures”), (ii) security trustee under the security trust agreement, dated as of March 28, 1996, as supplemented and amended, to which Airplanes Limited and Airplanes U.S. Trust are parties (the “Security Trust Agreement”), and (iii) pass-through trustee under the pass-through trust agreement, dated as of March 28, 1996, as supplemented and amended, to which Airplanes Limited and Airplanes U.S. Trust are parties (the “Pass-Through Trust Agreement”); (c)
