THIS EXCHANGE AGREEMENT (this “Agreement”) is made as of September 11, 2017, by and among PIVOT PHARMACEUTICALS INC., a British Columbia Corporation (“PIVOT”), INDUS PHARMACEUTICALS, INC., a Delaware General Business Corporation (“INDUS” or the “COMPANY”) and PRAVIN CHATURVEDI (“CHATURVEDI”).
