Aratana Therapeutics, Inc., a Delaware corporation (the “Company”), proposes to issue and sell to you (the “Underwriters”) an aggregate of 4,500,000 shares (the “Firm Shares”) of the common stock, par value $0.001 per share, of the Company (“Common Stock”). The Company also proposes to sell to the Underwriters up to an additional 675,000 shares of Common Stock at the option of the Underwriters (the “Option Shares”).
