This Settlement Agreement (this “Settlement Agreement”) is entered into as of this 7th day of October 2019, by and among the Aerogroup International, Inc., AGI Holdco, Inc., Aerogroup International LLC, Aerogroup International Holdings LLC, Aerogroup Retail Holdings, Inc., and Aerogroup Gift Card Company, Inc. (collectively, the “Debtors”), Polk 33 Lending, LLC (“Polk”), THL Corporate Finance, Inc. (“THL” and together with the Debtors, Polk, and THL, the “Parties”).
