Customer and Bank agree that the Service will be governed by the terms and conditions of this Agreement and any amendment hereto from time to time with respect to the Service, and by the terms and conditions of Customer’s Business Deposit Account Agreement with Bank (hereinafter, the “Account Agreement”). This Agreement is intended to supplement the Account Agreement and the two should therefore be read and construed together. If, however, there is any inconsistency or direct contradiction between the two, the terms and conditions of this Agreement, and any amendments hereto from time to time, shall take precedence and control. All capitalized terms used herein without definition shall have the meanings given to them in the Account Agreement. This Agreement shall be effective when signed by both parties, and such date shall be as reflected above.
