THIS ESCROW AGREEMENT (this “Agreement”) is made and entered into as of October ___, 2020, by and between the City of Marion, Ohio (the “Issuer”), a municipal corporation and political subdivision duly organized and validly existing under the laws of the State of Ohio, and U.S. Bank National Association, in Columbus, Ohio (the “Escrow Trustee”), a national banking association duly organized and validly existing under the laws of the United States of America and authorized to exercise trust powers under Ohio law in its capacity as escrow trustee under this Agreement;
