THIS INTERCREDITOR AGREEMENT, dated as of April 27, 2017 (“Agreement”) is entered into by and among (i) Dignity Health (“Dignity”) and The San Francisco Foundation (“TSFF”) (together with their successors, transferees and assigns that execute a Counterpart,), (ii) the City of San Francisco acting by and through its Mayor’s Office of Housing and Community Development (the “City”), (iii) the San Francisco Housing Accelerator Fund, a California nonprofit public benefit corporation (the “Fund”), and those Creditors who sign a Counterpart signature page subsequent to the date of this Agreement.
