Athene Holding Ltd., an exempted company organized under the laws of Bermuda (the “Company”), proposes, upon the terms and conditions set forth in this agreement (this “Agreement”), to issue and sell to Barclays Capital Inc., Goldman Sachs & Co. LLC, Wells Fargo Securities, LLC and the other several underwriters named in Schedule I hereto (the “Underwriters”), for whom Barclays Capital Inc., Goldman Sachs & Co. LLC and Wells Fargo Securities, LLC are acting as representatives (in such capacity, the “Representatives”), $1,000,000,000 in aggregate principal amount of its 4.125% Senior Notes due 2028 (the “Notes”). The Notes will have terms and provisions that are summarized in the Pricing Disclosure Package and Prospectus (each as defined below). The Notes are to be issued pursuant to an Indenture, dated January 12, 2018 (the “Base Indenture”), as supplemented by the First Supplemental Indenture, dated January 12, 2018 (the “Supplemental Indenture”; the Base Indenture, as supplemented by

EverBank Financial Corp, a Delaware corporation (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell to the several underwriters named in Schedule I hereto (the “Underwriters”), for whom you are acting as representatives (the “Representatives”), $90,000,000 aggregate principal amount of its 6.00% Fixed-to-Floating Rate Subordinated Notes due 2026 (the “Notes”). The Notes will be issued pursuant to an indenture dated as of June 30, 2015 (the “Base Indenture”), by and between the Company and Wells Fargo Bank, N.A., as trustee (the “Trustee”), as supplemented by a supplemental indenture to be dated as of the Time of Delivery (as defined below) (the “Supplemental Indenture” and, together with the Base Indenture, the “Indenture”). In this Agreement, words incorporating the singular only shall include the plural and vice versa.
