Certain stockholders of biote Corp., a Delaware corporation (the “Company”) named in Schedule II attached hereto (the “Selling Stockholders”), propose, subject to the terms and conditions herein, to sell 7,391,305 shares (the “Firm Shares”) of the Company’s Class A common stock, par value $0.0001 per share (the “Common Stock”). In addition, the Selling Stockholders propose to grant to the underwriters (the “Underwriters”) named in Schedule I attached to this agreement (this “Agreement”) an option to purchase up to an aggregate of 1,108,695 additional shares of Common Stock on the terms set forth in Section 3 (the “Option Shares”).
