This Amended and Restated Project Development Agreement and Contract for Sale of Land (this “Agreement”) is made and entered into as of the day of July, 2009, between the City of South Euclid, Ohio, a municipal corporation organized and existing under the Constitution and Laws of the State of Ohio and a duly adopted charter (the “City”); and Coral SECC, LLC, an Ohio limited liability company (the “Developer”). As used herein, the term “Effective Date” shall mean the last date of execution and delivery of this Agreement by the City and the Developer. Words and terms used herein and not otherwise defined shall have the meanings set forth in Article XII hereof.
