These Purchase Order Terms and Conditions (“Terms and Conditions”) and the accompanying Purchase Order (including, any and all appendices, and/or exhibits attached hereto or otherwise issued by Buyer (as defined hereafter) in connection herewith, collectively, the “Purchase Order”) is by and between Emerson College, a Massachusetts non-profit educational corporation, (“Buyer”) and Vendor (as identified and defined in the Purchase Order) (Buyer and Vendor, collectively, the “Parties,” each a “Party”). The Purchase Order and these Terms and Conditions constitute the entire agreement between the Parties and supersede and replace any and all prior discussions and agreements between the Parties. By commencing the services and/or shipping any of the goods, items, products or components (the “Material”) set forth in the Purchase Order, Vendor irrevocably accepts these Terms and Conditions.
