This First Amended and Restated Operating Agreement of ROI Investments, LLC is intended to replace, in its entirety, the original Operating Agreement that became effective on the date the Certificate of Formation was filed with the Nevada Secretary of State. This First Amended and Restated Operating Agreement is made and entered into effective as of October 10, 2024, by and among the Manager and the several persons whose names and addresses are set forth in Exhibit “1” attached hereto and incorporated herein by reference, and whose signatures appear on the counterpart signature pages attached hereto, and any other Person who shall hereafter execute this Agreement as a Member of ROI Investments, LLC, pursuant to and in accordance with the Nevada Limited Liability Company, as amended from time to time.
