THIS AGREEMENT is made by and between BellSouth Telecommunications, Inc., (BellSouth), a Georgia corporation, and New East Telephony, Inc. and New East Telephony, Inc. d/b/a Down Home Telephone (Down Home Telephone), a North Carolina corporation, and shall be effective on the Effective Date, as defined herein. This Agreement may refer to either BellSouth or Down Home Telephone or both as a “Party” or “Parties.”
