THIS MEMORANDUM OF SUBLEASE is entered into as of the Effective Date (as set forth below), between DALY, LLC, a Delaware limited liability company, having an address of c/o Carleton Kemph, Esquire, 6 Hampshire Court, Springfield, New Jersey 07081 (the “Landlord”) and WENDY’S PROPERTIES, LLC, a Delaware limited liability company, having an address of One Dave Thomas Boulevard, Dublin, OH 43017, Attn: Lease Management (Wendy's Site #12166) (the “Tenant”), to be placed upon the land records of the City of Stamford, and give notice of the Sublease (as described below) between the Landlord and Tenant. Capitalized terms used but not defined herein shall have the meaning set forth in the Sublease.
