This Amended and Restated Restricted Stock Purchase Agreement (this “Agreement”) is made as of October 30, 2017 (the “Effective Date”), by and between Certain Affinity Holdings, Inc., a Texas corporation (the “Company”), Max Hoberman (the “Shareholder”), Certain Affinity, Inc., a Delaware corporation (“CA”), and Leyou Technologies Holdings Limited, a company organized under the laws of the Hong Kong Special Administrative Region of the People’s Republic of China (“Leyou Technologies”).
