This Amended, Extended and Restated Agreement (“Agreement”) shall be deemed effective as of January 31, 2003 (the “Effective Date”), between Cat Communications International, Inc. d/b/a CCI (“CCI”), a corporation organized under the laws of the Commonwealth of Virginia, with offices at 4142 Melrose Ave., # 25, NW, Roanoke, VA 24017 and Verizon North Inc. and Verizon South Inc. (“Verizon”), a corporation organized under the laws of the State of Wisconsin with offices at 8001 West Jefferson, Ft. Wayne, IN 46804 (Verizon and CCI may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
