WHEREAS the International Development Association (“IDA”), as trustee (the “Trustee”) of the trust fund for the Haiti Reconstruction Fund (“HRF”) (MTO No. 069016) (the “Trust Fund”) and United Nations Development Programme (“UNDP”), through its Multi-donor Trust Fund Office (“MDTF”), in its capacity as the Administrative Agent (“AA”) of the Participating UN Organizations in the United Nations Development Group Haiti Reconstruction Fund (“UNDG HRF”) (the “Partner Entity” or “UNDP MDTF Office”, and together with the Trustee, the “Parties”) are entering into this Transfer Agreement (the “Transfer Agreement”) for the commitment and transfer of funds from the Trust Fund;
