This PLEDGE AGREEMENT (this “Agreement”) is made and entered into as of September 10, 2012 by and among Flint Telecom Group, Inc., a Nevada corporation (“Pledgor”), and Thermo Credit, LLC, a Colorado limited liability company (the “Pledgee”). Terms used but not otherwise defined in this Agreement that are defined in Article 9 or 8 of the Uniform Commercial Code as adopted in the State of Nevada (the “UCC”) shall have the respective meanings given such terms in such Articles of the UCC, and capitalized terms not otherwise defined herein shall have the meaning given them in the Credit Agreement (as defined below).
