THIS TERM LICENSE AGREEMENT, dated and effective as of the date of Customer’s purchase of a License Key (as defined below) for use of the Licensed Software(the “Effective Date”), is between Assemble Systems LLC, a Delaware limited liability company (“Assemble”), and the customer set forth on the purchase order pursuant to which the licenses for the Licensed Software were purchased (“Customer”), and sets forth the terms and conditions whereby Assemble agrees to provide to Customer and Customer agrees to acquire from Assemble one or more limited licenses to use certain software, documentation and maintenance services related thereto, owned or licensed by Assemble, as set forth on the Purchase Order (as defined below) pursuant to which Customer agrees to purchase a limited term license for the Products, the terms of which are hereby incorporated herein by reference and made a part of this Agreement.
