entered into by hCentive, Inc., a Delaware corporation with its principal place of business at 12355 Sunrise Valley Drive, Suite 310, Reston VA 20191 (“hCentive”), and OptumInsight, Inc., a Minnesota corporation with its principal place of business at 13625 Technology Drive, Eden Prairie, MN 55344 (“Licensee” or “Optum”). This Agreement is effective as of September 30, 2014 (the “Effective Date”). Capitalized terms not defined elsewhere in this Agreement or its Exhibits are defined in Article 14 of this Agreement. If not defined in Article 14 or elsewhere in this Agreement, capitalized terms used in this Agreement shall have the meanings set forth in the Professional Services Agreement.
