Amendment to the DISTRIBUTION AGREEMENT (Class C Shares) This agreement dated February 29, 1996 is hereby amended to include Class F shares as follows: AGREEMENT (the "Agreement"), dated as of October 18, 2010, between AMERICAN GROWTH FUND, INC., a Maryland corporation, (the "Fund") and WORLD CAPITAL BROKERAGE, INC., a Colorado corporation, (the "Distributor"). RECITALS WHEREAS, the Fund is registered under the Investment Company Act of 1940, as amended (the "1940 Act"), as a diversified, open-end management investment company; WHEREAS, the Fund intends to offer its Class C and Class F shares to the public on a continuous basis; WHEREAS, the Distributor is a broker-dealer registered under the Securities Exchange Act of 1934, as amended (the "1934 Act"), and is in the business of selling shares of the Fund and other registered investment companies to the public, either directly or through other broker-dealers; WHEREAS, the Fund and the Distributor wish to enter in
