This AMENDED AND RESTATED REINSURANCE AGREEMENT, (this “Agreement”), dated as of March 31, 2021 (the “Phase 2 Closing Date”), is entered into by and between Unum Life Insurance Company of America, a corporation organized under the laws of the State of Maine (the “Ceding Company”) and Commonwealth Annuity and Life Insurance Company, a corporation organized under the laws of Massachusetts (the “Reinsurer”).
