The Borrower has requested a revolving loan from the Bank in the amount of Fifteen Million and No/100 Dollars ($15,000,000.00) to be used to refinance the Borrower’s existing loans with the Bank and for general corporate purposes of the Borrower. The Bank has agreed to make such loan on the terms and conditions as hereinafter provided. The parties hereto agree as follows:

THIS PLEDGE AGREEMENT (this “Agreement”) is made as of this 22nd day of December 2006, by ATLANTIC AMERICAN CORPORATION, a Georgia corporation (the “Pledgor”), in favor of WACHOVIA BANK, NATIONAL ASSOCIATION, a national banking association (the “Bank”).
