This Credit Agreement is entered into as of May 3, 2006 among, THE FAIRCHILD CORPORATION, a Delaware corporation, as Borrower, each lender from time to time party hereto (collectively, the “Lenders” and, individually, a “Lender”), THE BANK OF NEW YORK, a New York banking corporation, as Administrative Agent, and GOLDENTREE ASSET MANAGEMENT, L.P., as Collateral Agent.
