This will confirm the terms and conditions under which The Fairchild Corporation is offering to employ you as a Senior Vice President - Business Development and Finance, until such time as the current Chief Financial Officer resigns as Chief Financial Officer, at which time you will become Chief Financial Officer and retain your title as Senior Vice President - Business Development and Finance. This agreement is subject to the approval of the Board of Directors and the Compensation and Stock Option Committee of The Fairchild Corporation.
