BAUSCH & LOMB INCORPORATED, a New York corporation (the "Borrower"), the banks, financial institutions and other institutional lenders (the "Initial Lenders") listed on the signature pages hereof, SALOMON SMITH BARNEY INC., as arranger, FLEET NATIONAL BANK, as documentation agent, THE CHASE MANHATTAN BANK, as syndication agent, and CITIBANK, N.A.
