THIS AGREEMENT OF SALE (“Agreement”) is made as of the 31st day of October, 2011 (the “Execution Date”), by and among BIG BOULDER CORPORATION, a Pennsylvania corporation (“Seller”), and JFBB SKI AREAS, INC., a Missouri corporation (“Buyer”).
