This Stockholders Agreement (as amended, restated, supplemented or modified from time to time, this “Agreement”), dated as of August 31, 2017 (the “Effective Date”), is entered into by and among A. M. Castle & Co., a Maryland corporation (the “Company”), those certain Stockholders of the Company (the “Initial Stockholders”) receiving Stock pursuant to the Plan (as defined below) in the respective amounts set forth on Schedule A hereto and those certain officers of the Company receiving Securities (as defined below) of the Company pursuant to the Plan in the respective amounts set forth on Schedule A hereto (the “Management Stockholders”). Unless otherwise specified, capitalized terms used herein shall have the respective meanings set forth in Article I. The Company, the Initial Stockholders, the Management Stockholders and any other Stockholder (the “Other Stockholders”) joined as a party to this Agreement pursuant to the provisions hereof are sometimes collectively referred to herein
