WHEREAS, the Borrower, Bank of America, N.A. and Wells Fargo Retail Finance, LLC are party to that certain Amended and Restated Credit Agreement dated as of January 18, 2008 by and among the Borrower, the other Borrowers party thereto, the Lenders party thereto, Bank of America, N.A. as Administrative Agent and Collateral Agent for the Lenders, and Wells Fargo Retail Finance, LLC, as Documentation Agent (as amended and in effect, the “Existing Credit Agreement”); and
