This Credit Agreement, dated as of January 14, 2009, is among Wendy’s International Holdings, LLC, a Delaware limited liability company, as Holdings, Wendy’s International, Inc., an Ohio corporation, as Borrower, the Lenders from time to time parties hereto, JPMorgan Chase Bank, N.A., a national banking association, as administrative agent, Bank of America, N.A., as syndication agent, and Wachovia Bank, National Association, as documentation agent.
