This First Amendment to the Class A-1 Note Purchase Agreement, dated as of May 23, 2023 (this “Amendment”), is by and among WENDY’S FUNDING, LLC, a Delaware limited liability company (the “Master Issuer”), QUALITY IS OUR RECIPE, LLC, WENDY’S PROPERTIES, LLC, WENDY’S SPV GUARANTOR, LLC, each as a guarantor (collectively, the “Guarantors” and each a “Guarantor”), WENDY’S INTERNATIONAL, LLC, as manager (the “Manager”), and COÖPERATIEVE RABOBANK U.A., NEW YORK BRANCH (the “Administrative Agent”) and acknowledged and agreed to by the Committed Note Purchasers, the Funding Agents, the Swingline Lender and the L/C Provider.
