El Paso Electric Company, a Texas corporation (the “Company”), has granted to the Participant, under the El Paso Electric Company Amended and Restated 2007 Long-Term Incentive Plan (the “Plan”), a restricted stock award of 15,000 Shares of restricted stock (the “Award Shares”), upon and subject to the restrictions, terms and conditions set forth below.
