THIS SECOND AMENDMENT TO PLEDGE AGREEMENT (this “Amendment”), dated as of February 21, 2013, by and among FOREST CITY RENTAL PROPERTIES CORPORATION, an Ohio corporation (“Pledgor”) and KEYBANK NATIONAL ASSOCIATION (“KeyBank”), as Agent for itself and the other Banks (the “Banks”) from time to time a party to the Credit Agreement (as hereinafter defined) (KeyBank, in its capacity as Agent, is hereinafter referred to as “Agent”).

FOURTH AMENDED AND RESTATED CREDIT AGREEMENT, dated as of February 21, 2013 (this “Agreement”), by and among FOREST CITY RENTAL PROPERTIES CORPORATION, an Ohio corporation (the “Borrower”), the banking institutions from time to time party hereto, together with their respective successors and permitted assigns (collectively the “Banks” and individually a “Bank”), KEYBANK NATIONAL ASSOCIATION, Cleveland, Ohio, as Administrative Agent for the Banks under this Agreement (the “Agent”), PNC BANK, NATIONAL ASSOCIATION, as Syndication Agent for the Banks under this Agreement (the “Syndication Agent”), and BANK OF AMERICA, N.A., as Documentation Agent (the “Documentation Agent”).

THIS FOURTH AMENDED AND RESTATED GUARANTY OF PAYMENT OF DEBT (this “Guaranty”) is made and issued by FOREST CITY ENTERPRISES, INC., an Ohio corporation (the “Guarantor”), as of this 21st day of February, 2013, in order to induce the Banks (as hereinafter defined), KEYBANK NATIONAL ASSOCIATION, as administrative agent for the Banks (the “Administrative Agent”), PNC BANK, NATIONAL ASSOCIATION, as syndication agent for the Banks (the “Syndication Agent” and together with the Administrative Agent, the “Agents”), and BANK OF AMERICA, N.A., as documentation agent (the “Documentation Agent”), to enter into, and lend money and otherwise extend credit pursuant to, a certain Fourth Amended and Restated Credit Agreement of even date herewith (said Fourth Amended and Restated Credit Agreement as it may be from time to time amended, restated, or modified being herein called the “Agreement”), by and among the Banks, the Agents, the Documentation Agent and FOREST CITY RENTAL PROPERTIES CORPORATION, a
