THIS LIMITED PARTNERSHIP AGREEMENT (this “Agreement”) of Forest City Enterprises, L.P. (the “Partnership”), dated as of December 31, 2015, is entered into by and among Forest City Realty Trust, Inc., a Maryland corporation (the “General Partner”), as the general partner of and a limited partner in the Partnership, and FCILP, LLC, a Delaware limited liability company (the “Initial LP”), together with any other Persons who become Partners in the Partnership as provided herein.
