This Franklin Electric Co., Inc. ("Franklin") Supplemental Retirement and Deferred Compensation Plan (the "Plan") is unfunded and is maintained by Franklin primarily for the purpose of providing deferred compensation for a select group of management or highly-compensated employees. The Plan was adopted effective as of December 12, 2008, to allow eligible executive officers of Franklin and certain affiliates to defer receipt of portions of their base salary and bonus awards. The Plan is hereby amended and restated, effective as of January 1, 2012, to permit Franklin to make contributions to the Plan on behalf of eligible executive officers, regardless of their election to defer portions of their salary and bonus into the Plan.
