AMENDED AND RESTATED FIVE-YEAR CREDIT AGREEMENT dated as of March __, 2012 (as amended, restated, supplemented, extended, replaced or otherwise modified from time to time, this “Agreement”) among HARSCO CORPORATION, a Delaware corporation (the “Company”), the lenders listed in Schedule 2.01 hereto (the “Lenders”), CITIBANK, N.A., as administrative agent for the Lenders (in such capacity, together with any successor Administrative Agent appointed pursuant to Section 8.06, the “Administrative Agent”), THE ROYAL BANK OF SCOTLAND PLC, as syndication agent, and BANK OF TOKYO-MITSUBISHI UFJ, LTDJPMORGAN CHASE BANK, N.A., HSBC BANK USA, NATIONAL ASSOCIATION, and CREDIT SUISSE AG, CAYMAN ISLANDS BRANCH, as syndication agents, and ING BANK N.V., DUBLIN BRANCH, JPMORGAN CHASE BANK, N.A. and LLOYDS TSB BANK PLCBANK OF TOKYO MITSUBISHI UFJ, LTD., U.S. BANK NATIONAL ASSOCIATION, ROYAL BANK OF CANADA and PNC BANK, NATIONAL ASSOCIATION, as documentation agents.
