3Com Corporation has granted Jay Zager, (the “Participant”), an Option to purchase certain Shares in accordance with the Participant’s Offer of Employment letter dated May 9, 2007, (“Offer Letter”), subject to the following terms and conditions as set forth in this Award Agreement.
