THIS NINTH AMENDED AND RESTATED OMNIBUS AGREEMENT (the “Agreement”) is being entered into on January 7, 2014, to be effective as of January 7, 2014, by and among HollyFrontier Corporation, a Delaware corporation (“Holly”), the other Holly Entities (as defined herein) listed on the signature pages hereto, Holly Energy Partners, L.P., a Delaware limited partnership (the “Partnership”), and the other Partnership Entities (as defined herein) listed on the signature pages hereto, and amends and restates in its entirety the Eighth Amended and Restated Omnibus Agreement entered into on July 16, 2013 and effective as of June 1, 2013 (as amended, the “Eighth Amended Omnibus Agreement”) among Holly, Navajo Pipeline Co., L.P., a Delaware limited partnership (“Navajo Pipeline”), Holly Logistic Services, L.L.C., a Delaware limited liability company (“Holly GP”), HEP Logistics Holdings, L.P., a Delaware limited partnership (the “General Partner”), the Partnership, HEP Logistics GP, L.L.C., a Delawar
